1. These terms

These terms govern the supply of services by YUMIN TECHNOLOGY L.L.C (“Yumin”, “we”, “us”) to you (“Customer”, “you”). They apply to your use of yumin.ae and to every service you buy from us, including Yumin CRM, Yumin Connect, Yumin Answer, Yumin Events and Yumin Social.

By placing an order, signing a quote, or using a service, you accept these terms. Where you accept them on behalf of a company, you confirm you are authorised to bind that company.

2. The agreement between us

Our agreement consists of these terms, the written quote or order form we issue and you accept, and any written statement of work for setup, migration or integration. Where they conflict, the signed quote or statement of work takes precedence over these terms for the matter it deals with.

A quote is valid for 30 days from its date unless it says otherwise.

3. What we provide

We provide the services described in your quote. Services are provided on a subscription basis for the term stated, together with any one-off setup, migration, configuration, integration or training work we have agreed.

We may improve, change or replace features over time. We will not materially reduce the core functionality you are paying for during a paid term without telling you in advance.

4. Your account and your users

You are responsible for your account, your users and everything done under your logins. You must keep credentials confidential, remove users who leave, and tell us promptly if you believe an account has been compromised.

You must use the services lawfully, and must not use them to send unlawful, misleading or abusive content, to send unsolicited messages to people who have not opted in, to infringe another person’s rights, or to attempt to breach the security of our systems or anyone else’s.

5. Third-party platforms

Some services depend on platforms we do not control, including the WhatsApp Business Platform operated by Meta, social media platforms, and your payment provider. Your use of those platforms is also governed by their own terms and policies, which you are responsible for complying with.

We are not responsible for a third-party platform changing its rules, pricing, features or availability, for its suspension or rejection of your account, number, message template, advertisement or content, or for its downtime. We will make reasonable efforts to help you resolve such matters.

We do not promise that any third-party platform will approve any particular application, verification, badge, template or advertisement.

6. Customer data

You own the data you and your users put into the services (“Customer Data”), and you are responsible for it being lawful, accurate and properly obtained, including having any consents needed to message the people in it.

We process Customer Data only to provide and support the services, and on your instructions, as described in our privacy policy. We do not sell Customer Data.

You may export your Customer Data during the term. On termination, we will make it available for export for 30 days, after which we may delete it.

7. Our intellectual property

We own the services, our software, our designs and our documentation, and nothing in these terms transfers that ownership to you. You get a non-exclusive, non-transferable right to use the services during your term for your own business purposes.

Where we produce creative material for you under Yumin Social, the approved and published material is yours to use. Our underlying templates, tools and working files remain ours.

8. Fees, invoicing and taxes

Fees are as stated in your quote, or, for Yumin Social, as published on our Social page. Subscriptions are invoiced in advance for each period. Setup and project work is invoiced as set out in the quote.

Invoices are payable within 14 days of the invoice date unless the quote says otherwise. All amounts are in UAE dirhams and exclusive of VAT and any other applicable taxes, which are added where due.

Pass-through charges. Certain third-party charges are passed through to you at cost, with no margin added by us, and shown as separate lines on your invoice. These include Meta’s per-conversation charges on the WhatsApp Business Platform and, on the Yumin Social Growth plan, advertising spend paid to the platforms. These charges are set by the third party, can change without our involvement, and are payable by you.

Late payment. If an invoice is overdue, we may suspend the services after giving you written notice and a reasonable opportunity to pay.

Price changes. We may change subscription fees on 30 days’ written notice, taking effect from your next renewal. If you do not accept a change, you may cancel before that renewal.

9. Term, renewal and cancellation

Subscriptions run for the term in your quote and renew automatically for successive periods of the same length unless cancelled. Cancellation and refund terms, including for Yumin Social, are set out on our refund and cancellation page, which forms part of these terms.

Either party may terminate for material breach if the other does not remedy it within 30 days of written notice. We may suspend or terminate immediately where required by law, where your use threatens the security or integrity of our systems, or where a third-party platform requires it.

10. Service availability and support

We aim to keep the services available and to support them during our working hours, Monday to Friday, 9am to 6pm Dubai time. Planned maintenance is notified in advance where practicable.

Any specific availability commitment applies only where it is stated in your signed quote or a separate service level agreement. In the absence of such a document, the services are provided without a guaranteed uptime figure.


11. Warranties and disclaimers

We warrant that we will provide the services with reasonable skill and care, by suitably competent personnel, and in compliance with applicable UAE law.

Beyond that, and to the fullest extent permitted by law, the services are provided as they stand. We do not warrant that they will be uninterrupted or error-free, that they will meet a requirement we have not agreed in writing, or that any output produced by an artificial intelligence feature will be accurate, complete or suitable for a particular purpose. Output from AI features must be reviewed by you before it is relied on.

12. Liability

Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be limited.

Subject to that, neither party is liable for indirect or consequential loss, loss of profit, loss of revenue, loss of anticipated savings, loss of business or loss of goodwill.

Subject to that, our total liability arising out of or in connection with this agreement, whether in contract, tort or otherwise, is limited in aggregate to the total fees you paid us for the service in question in the 12 months before the event giving rise to the claim.

13. Confidentiality

Each party will keep the other’s confidential information confidential, use it only for the purposes of this agreement, and protect it with at least reasonable care. This does not apply to information that is public through no fault of the receiving party, was already lawfully known to it, or must be disclosed by law.

14. Publicity

We will not use your name or logo publicly as a customer without your prior written consent.

15. Force majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including acts of government, war, civil unrest, natural events, failures of telecommunications or internet infrastructure, and the failure or withdrawal of a third-party platform.

16. Assignment and subcontracting

You may not assign this agreement without our written consent. We may subcontract parts of the services, and remain responsible for work our subcontractors do.

17. Notices

Notices to us go to info@yumin.ae and to our registered address above. Notices to you go to the email address on your account. Notices are treated as received on the next working day after sending.

18. Entire agreement and variation

This agreement is the whole agreement between us on its subject matter and replaces any earlier discussions. It may be varied only in writing signed by both parties, except where these terms allow us to change fees or features on notice.

19. Governing law and jurisdiction

This agreement is governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai. The courts of Dubai have exclusive jurisdiction over any dispute arising from it.
